Terms of Use

These Terms of Use ("Terms") govern your access to and use of AutoBooks (the "Service") provided by Clan AI ("Clan AI", "we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

AutoBooks is an AI-powered accounts payable platform that helps businesses automate the capture, review, approval, and accounting sync of supplier bills and invoices. Features include AI-based data extraction, email inbox integration, vendor and chart-of-accounts matching, multi-user workspaces, and integration with third-party accounting software such as Xero.

2. Eligibility and Accounts

You must be at least 18 years old and authorised to enter into these Terms on behalf of yourself or the organisation you represent. You agree to provide accurate and complete information when creating an account and to keep that information current.

You are responsible for safeguarding your account credentials, any API keys you supply, and all activity that occurs under your account. Notify us immediately at support@clanai.sg if you suspect any unauthorised use.

3. Workspaces, Roles, and Permissions

The Service supports multi-user workspaces with role-based permissions (owner, admin, member, viewer). Workspace owners and admins are responsible for configuring access for their members and ensuring members' use of the Service complies with these Terms.

4. Third-Party Integrations

The Service integrates with third-party services including, without limitation, Gmail, Microsoft 365 / Outlook, Xero, and AI providers such as Anthropic, OpenAI, and Google. By connecting any third-party service to your AutoBooks workspace, you authorise Clan AI to access, store, and process data from that service as needed to operate the Service.

You are responsible for complying with the terms of those third-party services and for the confidentiality of any API keys you provide. Disconnecting a third-party service may affect the functionality of certain Service features.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose;
  • Upload, process, or transmit any content that infringes intellectual-property rights or violates the privacy or other rights of any person;
  • Attempt to reverse engineer, decompile, scrape, or otherwise gain unauthorised access to the Service or its underlying systems;
  • Interfere with or disrupt the integrity, performance, or security of the Service;
  • Resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted;
  • Send spam, bulk unsolicited messages, or other abusive content through the Service;
  • Use the Service to develop, train, or benchmark a competing product or service.

6. Fees and Payment

Some features of the Service may be offered on a subscription or usage-based plan. Pricing and payment terms (where applicable) will be communicated to you at the time of subscription. You authorise us, or our payment processor, to charge the payment method on file for all fees due. Fees are non-refundable except as required by law or as expressly stated otherwise.

You are responsible for any costs charged directly to you by your AI provider, accounting software, or other third parties as a result of your use of the Service.

7. Customer Data

As between you and Clan AI, you retain all rights, title, and interest in and to the bills, invoices, vendors, configurations, and other data you submit to the Service ("Customer Data"). You grant us a non-exclusive, worldwide, royalty-free licence to host, process, transmit, and display Customer Data solely as necessary to provide and improve the Service.

We will not use Customer Data to train generalised AI models for Clan AI or third parties.

8. Intellectual Property

Clan AI and its licensors retain all rights, title, and interest in and to the Service, including all software, designs, trademarks, and content, except for Customer Data. No rights are granted to you other than those expressly set out in these Terms.

9. AI Output and Accuracy

The Service uses artificial intelligence to extract data from invoices and to suggest vendor and chart-of-accounts mappings. AI output may be inaccurate, incomplete, or unsuitable for your specific circumstances. You are solely responsible for reviewing and verifying all AI-generated output before approving any bill or syncing it to your accounting system.

10. Service Availability

We aim to provide a reliable Service but do not guarantee uninterrupted, error-free, or secure operation. The Service may be temporarily unavailable due to maintenance, updates, or factors outside our control, including outages of third-party providers.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI OUTPUT. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL ACCOUNTING, TAX, OR LEGAL ADVICE.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Clan AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount of fees you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) SGD 100.

13. Indemnification

You agree to defend, indemnify, and hold harmless Clan AI and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your Customer Data, your use of the Service, or your breach of these Terms.

14. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms or that suspension is necessary to protect the Service or other users. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease, and we may delete your data after a reasonable retention period.

15. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. Material changes to these Terms will be communicated through the Service or by email. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict-of-laws rules. The courts of Singapore shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or the Service.
